GAF PERFECT HEALTH INTERNATIONAL CORP. INDEPENDENT DISTRIBUTORSHIP AGREEMENT Being a distributor of GAF PERFECT HEALTH INTERNATIONAL CORP.. (hereto referred to as “GAF PERFECT HEALTH or the “Company”), I hereby agree to undertake, or be bound by, the following terms and conditions: 1. I hereby declare and represent that I am of legal capacity (at least eighteen [18] years of age) if I am registering as distributor in my personal capacity, or as single proprietor. If I am registering in behalf of a corporation, partnership, cooperative or any other legal entity, I hereby declare that I am duly-authorized by the said corporation, partnership, cooperative or other legal entity to enter into this Agreement. 2. I adhere, am bound or subject to marketing programs and compensation plans of the Company including the pay-out system, commissions, bonuses, discounts, and other privileges designed and being implemented by the Company. 3. I hereby authorize the Company to make automatic deductions from my commissions, bonuses, discounts and other amounts owed me constituting Witholding tax and other deductions authorized by law; 4. I understand that there is no employer-employee relationship between myself or the legal entity I am representing and the Company; 5. My membership as GAF PERFECT HEALTH INTERNATIONAL CORP. distributor is not transferable to any third person unless a prior written consent is first obtained by the Company. Any transfer in violation of this requirement is null and void, will not be honored by the Company and shall be a ground for appropriate disciplinary action including termination of membership. 6. As a distributor of GAF PERFECT HEALTH INTERNATIONAL CORP., I shall observe and be bound by the Company Rules and Regulation, the Code of Conduct and Ethical Standards for Distributors, Cardinal rules and Prohibited Acts, including any amendments thereto and which are made integral parts of this Agreement; 7. Should the time come that I would wish to terminate this Distribution Agreement, I must submit a written notice to the Company. I am aware that my voluntary termination will only take effect on the day such notice is accepted and approved by the Company. 8. While I am still a member / distributor of the Wellness, I am aware and I agree that I cannot join or work, either directly or indirectly, in other Multi-Level Marketing firm, or in other company whose products are similar to or in competition with those of Wellness. 9. I understand and I agree that I am strictly prohibited from inviting, recruiting, sponsoring, or in any way enticing registered distributors of Wellness to join or register at another company at the time that I am no longer a member of, or no longer an active distributor of Wellness. 10. In the event my membership as distributor of GAF PERFECT HEALTH INTERNATIONAL CORP. is terminated for cause, or due to violation of the terms and conditions of this Agreement, including the Rules and Regulations, Code of Conduct and Ethical Standards, Cardinal Rules and Prohibited Acts, I understand and agree that among the consequence or sanctions is the forfeiture of my commissions and other privileges. 11. I will not disclose any important, relevant or sensitive information I might have obtained during my membership with GAF PERFECT HEALTH INTERNATIONAL CORP. wit respect to its products, compensation package, marketing plans, trade secrets and the like to any third party during and after my membership with the Company. I will not, at all times, criticize, make negative comments, or in any way commit act or make expressions or statements which will put GAF PERFECT HEALTH INTERNATIONAL CORP., its products, or any of its officers, distributors, employees, agents or owners in bad light. 12. I recognize and will respect the right of the Company to modify, amend, revise or update the provisions of this Agreement or any of its existing policies, marketing plans, compensation packages and other activities without prior notice; By Clicking “accept” you hereby abide to the Wellness Independent Distributorship Agreement, and I also acknowledge that any breach thereof may result in the termination of my Wellness business center or possible criminal and/or civil charges in court.
